RGF's Client - a Japanese real estate company - is looking for Legal Staff to ensure daily operations of project companies and buildings comply with legal regulations and group policies while identifying and controlling legal risks through comprehensive legal support and advisory services.
- Working Location: Cau Giay Ward, Ha Noi City
- Monthly Salary: 35,000,000 ~ 40,000,000 VND
- Job Responsibilities:
1. Corporate legal:
- Carry out and monitor corporate procedures for project companies, such as enterprise registration, investment registration, sub-licenses, and other administrative procedures serving the operations of the project companies;
- Draft resolutions, decisions, and meeting minutes of the Members’ Council/Board of Directors/General Meeting of Shareholders;
- Manage the corporate legal dossiers of each project company and ensure periodic reporting obligations to regulatory authorities.
2. Legal compliance in project and building operations:
- Monitor and review the status of, and carry out procedures to obtain/maintain the validity of, permits, approvals, and legal documents required for project operations, such as land lease contracts, land use right certificates, environmental permits, intellectual property certificates, etc;
- Provide legal advice on issues arising during building management and operation.
3. Contract management:
- Participate in developing and updating template contracts;
- Draft, review, and participate in negotiating contracts serving the operations and business activities of project companies, such as lease/sublease agreements for commercial/office premises, service contracts, procurement contracts, etc.
4. Dispute handling and liaison with state authorities:
- Participate in working with state regulatory authorities during inspections and examinations; prepare explanatory dossiers and monitor the remediation of issues identified in conclusions;
- Participate in resolving disputes arising from business activities and building operations with tenants, contractors, residents, etc., specifically through negotiation, drafting official letters, preparing dossiers, and coordinating with external legal consultants when cases are referred to arbitration/court.
5. Internal advisory and risk management:
- Provide legal advice to the BoD of the project company and the Building Management;
- Participate in developing internal regulations and procedures, such as operating regulations, contract signing procedure;
- Organize compliance training for operational departments.
6. Other duties:
- Handle payment processes and documentation with external law firms/vendors;
- Manage signature request processes;
- Perform other tasks assigned by the line manager and Company.
