Legal Senior (Project & M&A)

Investment Projects & Licensing

• Support the planning and execution of investment projects, including manufacturing facilities, industrial real estate developments, and renewable energy projects.
• Research, analyze, and provide legal advice on regulations relating to investment, land, construction, environmental compliance, planning, and fire safety.
• Liaise with government authorities to obtain investment approvals, licenses, permits, and other regulatory clearances required for project implementation.
• Lead or participate in drafting, reviewing, negotiating, and finalizing legal documents and agreements related to investment projects (e.g., MOUs, Pre-Feasibility Study (Pre-FS) documentation, land lease agreements, land use rights transfer agreements, site clearance agreements, deposit agreements, loan agreements, bidding and auction documentation, licensing applications and amendments, and other project-related legal documents).
• Coordinate with external consultants, service providers, business partners, and internal stakeholders throughout project implementation.
• Identify legal risks and recommend appropriate mitigation measures to ensure regulatory compliance and successful project execution.

Mergers & Acquisitions (M&A) and Joint Ventures

• Participate in M&A transactions, project transfers, and joint venture investments from initiation through completion.
• Conduct or support legal due diligence exercises and assess legal risks associated with potential transactions.
• Lead or participate in drafting, reviewing, negotiating, and finalizing transaction documents (e.g., NDAs, MOUs, Share Transfer Agreements, Asset Transfer Agreements, Project Transfer Agreements, Business Cooperation Contracts (BCCs), Joint Venture Agreements (JVAs), Shareholders' Agreements, closing documents, and post-closing filings).
• Coordinate with regulators, external advisors, investors, and counterparties regarding transaction approvals, registrations, and compliance requirements.
• Monitor transaction progress and provide legal recommendations to address issues and mitigate transaction-related risks.

Corporate Legal & Governance

• Draft, review, and maintain corporate governance documents (e.g., Company Charter, internal regulations and policies, share transfer regulations, capital contribution transfer regulations, meeting minutes, resolutions, and corporate decisions of the Members’ Council, Board of Directors, and General Meeting of Shareholders).
• Advise on corporate governance matters, organizational restructuring, and corporate transformation initiatives.
• Prepare and manage legal documentation relating to company incorporation, amendments to business registration, establishment or closure of branches, representative offices, business locations, and company dissolution.
• Ensure compliance with applicable corporate governance and regulatory requirements.

Legal Advisory & Compliance

• Provide legal advice and support to internal stakeholders on investment, commercial, corporate, and operational matters.
• Monitor, analyze, and communicate legal and regulatory developments that may impact the Company's operations and business activities.
• Assess legal risks and recommend practical solutions to ensure compliance and minimize potential liabilities.
• Support the resolution of legal issues, disputes, and conflicts involving business partners, customers, contractors, and regulatory authorities.

Stakeholder Management & Project Coordination

• Build and maintain effective working relationships with government authorities, investors, business partners, external counsel, consultants, and service providers.
• Collaborate with cross-functional teams to ensure legal requirements are properly incorporated into business operations and project execution.
• Prepare periodic and ad-hoc reports on project status, legal matters, and identified risks.
• Maintain, manage, and safeguard legal records and documentation in accordance with company policies.

Education

• Bachelor's Degree or higher in Law.
• Lawyer Practicing Certificate is an advantage.

Experience

• Minimum 5 years of experience in corporate legal, investment, project development, M&A, or legal consulting.
• Hands-on experience in investment licensing, corporate governance, commercial transactions, and project implementation.
• Experience supporting M&A transactions, joint ventures, or corporate restructuring projects is preferred.
• Experience working with government authorities, investors, external counsel, and professional service providers.

Knowledge

• Strong knowledge of Corporate Law, Investment Law, Commercial Law, Civil Law, and related regulations.
• Familiarity with regulations relating to land, construction, environment, planning, and fire safety is preferred.
• Good understanding of corporate governance, M&A transactions, and investment project structures.

Language

• Good command of spoken and written English, with the ability to review, draft, and negotiate legal documents in English.
