Job Description

1. Corporate & Commercial Legal Management:

  • Legal Counsel: Provide expert, timely, and practical legal advice on a wide range of corporate and commercial issues, including but not limited to commercial contracts, intellectual property, product liability, consumer protection, and advertising laws.
  • Risk Management: Identify, assess, and mitigate legal risks across all business functions. Develop and implement policies and procedures to ensure legal compliance and protect the company's assets.
  • Contract Management: Draft, review, negotiate, and finalize a wide variety of legal documents and contracts, including distribution agreements, supplier contracts, marketing agreements, and service agreements.
  • Dispute Resolution: Manage and oversee all litigation, arbitration, and dispute resolution processes. Liaise with external counsel as needed.

2. Mergers & Acquisitions (M&A):

  • Strategic Planning: Act as the lead legal advisor on all M&A transactions, from initial due diligence to post-acquisition integration.
  • Due Diligence: Conduct and manage comprehensive legal due diligence on target companies, identifying potential legal risks, liabilities, and opportunities.
  • Transaction Execution: Draft and negotiate definitive transaction documents, including share purchase agreements, asset purchase agreements, and joint venture agreements. Ensure all closing conditions are met.
  • Regulatory Filings: Manage and coordinate all regulatory filings and approvals required for M&A transactions.

3. Regulatory Compliance:

  • Compliance Oversight: Ensure the company's products, marketing materials, and operations comply with national and international laws and regulations related to food safety, consumer protection, advertising standards, and packaging and labeling requirements.
  • Regulatory Liaison: Act as the primary point of contact with government bodies and regulatory agencies on legal and compliance matters

Job Requirement

  • Education: Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) degree from a reputable law school. A master's degree (LL.M.) is a plus.
  • Experience: A minimum of 10-15 years of progressive legal experience, with at least 5 years in a senior leadership role.
  • Industry Knowledge: Proven experience as a senior legal counsel or director in the FMCG sector is a mandatory requirement.
  • Strong business acumen and ability to provide commercially-minded legal advice.
  • Exceptional negotiation and communication skills, both written and verbal.
  • High level of integrity, professional ethics, and sound judgment.
  • Ability to work effectively under pressure and manage multiple priorities.
  • Fluency in both English and Vietnamese is required.
