Legal (60%)
• Legal Advisory:
- Provide expert legal advice to the Board of Directors and Department Heads on business operations, investment, and strategic decisions.
- Identify and assess potential legal risks in the Company’s daily operations and propose proactive mitigation strategies.
- Interpret and advise on the impact of new laws and regulations (Real Estate, Consumer Protection, Labour, etc.) on the Company's business model.
• Contract Management:
- Draft, review, and negotiate complex commercial contracts, ensuring alignment with both local laws and Group standards.
- Standardize contract templates for different business activities (procurement, service providers, marketing events…) to minimize lead time and legal exposure.
- Manage the contract lifecycle, including renewals, terminations, and handling of breaches of contract.
• Corporate Governance & Secretarial Affairs:
- Ensure the Company’s corporate status is in good standing by managing all statutory records, business licenses, and operational permits.
- Directly handle or oversee procedures for business registration changes, branch establishment, or investment certificate amendments.
- Ensure all Board and Shareholder meetings/resolutions comply with the Law on Enterprises and the Company’s Charter.
- Draft and manage corporate documentation, including meeting minutes, resolutions, and decisions for the Board of Directors and Shareholders
• External Liaison:
- Act as the primary representative in working with government authorities for licensing and inspections.
- Draft and finalize official administrative correspondence (official letters/reports) to state agencies, ensuring professional standards and persuasive legal arguments.
- Maintain a seamless communication channel with the Group’s Legal Department to ensure local operations are synchronized with Group-wide legal policies.
• Intellectual Property & Marketing Compliance:
- Manage and protect the Company’s trademarks and intellectual property rights.
- Review all marketing materials, promotional programs, and advertising campaigns to ensure compliance with the Law on Advertising and Consumer Rights.
• Dispute Resolution: Handle legal claims, litigation, or breaches of contract by partners or tenants.
• Updates & Training: Constantly monitor changes in legislation and conduct internal workshops to update relevant departments on laws affecting shopping centre operations.
· Ad-hoc Tasks: Perform other related duties as requested by the General Manager.
Compliance Management (40%)
· Process Systematization: Review, update, and standardize the entire system of Standard Operating Procedures (SOPs) across all departments.
· Workflow Establishment: Coordinate with Department Heads to design practical new processes and eliminate operational bottlenecks.
· Monitoring & Inspection: Establish mechanisms for periodic and ad-hoc audits to ensure process compliance across all units.
· Whistleblowing Management: Serve as the primary focal point for receiving and handling violation reports via internal whistleblowing channels.
· Violation Handling: Receive, investigate, and report instances of process non-compliance; propose sanctions or corrective actions to the Board of Directors.
· Governance Digitalization: work with other relevant stakeholders to implement, and optimize the automated Workflow Management System.
· Reporting: Prepare periodic compliance reports for submission to the Board of Directors.
Ad-hoc Tasks: Perform other related duties as requested by the General Manager.
1. Background and Experience
· Education: Bachelor’s Degree in Law. A Lawyer's Practicing Certificate is a strong plus.
· Certifications: professional certifications in Risk Management/Compliance is a plus.
· Legal Knowledge: Extensive understanding of Corporate Law, Commercial Law, Labour Law, and regulations regarding safety, fire prevention and fighting (PCCC), and building/shopping mall operations.
· Minimum 5–7 years in Legal & Compliance, preferably in Real Estate, Shopping mall, Luxury Retail, or Hospitality sectors.
· Industry Background: Priority for candidates with experience in multinational corporations, real estate management, or luxury retail sectors.
2. Skills
· Systematic Thinking: Ability to analyze the overall operational flow to design scientific and non-overlapping processes.
· Drafting Skills: Proficiency in developing regulations, procedures (SOPs), internal proposals, and reviewing complex commercial contracts.
· Communication & Persuasion: Capability to work diplomatically yet decisively with Department Heads to drive changes in traditional working habits.
· Problem Solving & Analysis: Sharpness in detecting operational risks and proposing practical remediation solutions.
· Languages: Ability to read and write effectively in English for professional use (knowledge of other foreign languages is an advantage).
