Position Overview

As Legal Manager (M&A), you will play a critical role in driving the legal aspects of our investment transactions. You will lead the legal due diligence, drafting, negotiation, and closing of M&A deals while ensuring compliance and corporate governance across the group. This is a strategic position requiring a mix of legal expertise, business acumen, and leadership skills to support Agronexus Capital’s ambitious growth plans.

Key Responsibilities

1. M&A Transactions

• Collaborate with deal teams and investors/investees during all phases of M&A projects.
• Coordinate with external counsel or independently manage deal timelines, deliverables, and legal documentation.
• Lead Legal Due Diligence (LDD) by reviewing contracts and corporate records, identifying risks, and proposing solutions.
• Draft, review, and negotiate key transaction documents including NDAs, Term Sheets, Share Purchase Agreements (SPA), Shareholders’ Agreements (SHA), and company Charters.
• Handle licensing, regulatory approvals, and merger filings required for deal completion.
• Facilitate corporate approvals and oversee transaction closings.
• Provide ongoing legal support to investees post-transaction.

2. Joint Ventures (JVs)

• Monitor legal compliance for JVs and keep abreast of new regulations.
• Support operational licensing and approval processes.
• Review and approve commercial contracts involving clients, vendors, and suppliers.
• Act as Corporate Secretary for JVs, preparing meeting materials, drafting minutes, resolutions, and advising on legal matters.

3. Support for Agronexus Capital

• Provide legal guidance and documentation in response to corporate requests.
• Collaborate with compliance teams to secure operational licenses.
• Manage corporate matters such as capital changes, director appointments, and registered address updates with law firms.

4. Group Companies Management

• Oversee registration and de-registration of group entities.
• Manage corporate governance changes including capital adjustments, legal representation, and organizational charts.
• Build and maintain relationships with regulatory bodies (MPI, DPI).
• Supervise reporting requirements for Agronexus’s investment projects.

5. Team Leadership

• Lead, supervise, and mentor the legal team, fostering professional growth.
• Delegate effectively and ensure timely delivery of legal tasks.

Yêu Cầu Công Việc

• Bachelor’s or Master’s degree in Law.
• Minimum 7+ years’ legal experience, preferably in securities, investment banking, or M&A advisory.
• Deep understanding of securities regulations, investment laws, and corporate governance.
• Experience working with financial institutions, investment funds, or law firms specializing in finance/M&A.
• Strong skills in contract drafting, negotiation, and legal analysis.
• Solid knowledge of financial instruments, capital markets, and investment products.
• Fluent in English (preferred).
• Ability to multitask in a fast-paced environment with strong problem-solving skills.
• Excellent communication and stakeholder management abilities.
• High ethical standards and dedication to best legal practices.
